Terms and Conditions


1. Introduction

Welcome to Sprocket 3PL. By using our services, you agree to comply with and be bound by the following terms and conditions. Please review these terms carefully before engaging our services.


2. Definitions

Agreement: The entire contract between Sprocket 3PL and the Client, including all terms and conditions and any amendments.

Client: The entity or individual receiving logistics and fulfillment services from Sprocket 3PL.

Services: Activities provided by Sprocket 3PL, including warehousing, order fulfillment, inventory management, bicycle assembly, and other logistics services.

Goods: Products entrusted to Sprocket 3PL for storage, handling, and delivery.


3. Scope of Services

Sprocket 3PL provides the following services:

Warehousing: Secure storage of the Client’s goods in our facilities.

Inventory Management: Monitoring and managing inventory levels.

Order Fulfillment: Picking, packing, and shipping goods per the Client’s instructions.

Returns Management: Handling product returns.

Other Services: Additional services such as labeling, kitting, customized solutions and custom packaging.


4. Service-Level Agreements (SLAs)

Sprocket 3PL is committed to high standards of service performance, including:

Order Accuracy: Maintaining a 99% order accuracy rate.

Order Processing Time: Processing and dispatching orders within 24 hours of receipt on business days.

Inventory Accuracy: Maintaining a 99.5% inventory accuracy rate.

Returns Processing Time: Processing returns within 48 hours of receipt.


5. Fees and Payment

Fee Structure: Fees related to the services provided by Sprocket 3PL, including warehousing, order fulfillment, and other value-added services, are outlined in the pricing schedules.

Payment Terms: Invoices issued by Sprocket 3PL are payable within 14 days of receipt.

Late Payments: Late payments will incur additional fees as specified in the Agreement.


6. Pricing Adjustments

Sprocket 3PL reserves the right to review and adjust pricing based on factors such as storage ratios, inflation, and external cost fluctuations. Any adjustments will be communicated in writing at least 60 days before the effective date.


7. Confidentiality and Data Security

Both parties agree to protect each other's confidential information and not disclose it without permission. In case of a data breach, it must be reported within 48 hours of discovery. Client data will be securely deleted within 30 days of contract termination.


8. Insurance and Liability

Sprocket 3PL maintains appropriate insurance coverage, including general liability and cargo insurance. The liability for any direct damages is capped at the total amount paid by the Client for services in the preceding six months.


9. Termination

Termination by Notice: Either party may terminate the Agreement with six months' notice.

Early Termination for Breach: The Agreement may be terminated for a breach of material obligations or SLAs.


10. Governing Law and Dispute Resolution

This Agreement is governed by the laws of Norway. Any disputes arising out of or in connection with this Agreement shall be resolved first through negotiation, then mediation, and if necessary, arbitration in Oslo, Norway.


11. Amendments

No amendment or modification of this Agreement shall be valid unless it is in writing and signed by authorized representatives of both parties.


12. Indemnification

The Client shall indemnify Sprocket 3PL for any losses or damages arising from the Client's actions, negligence, or default, as well as any third-party claims related to the services provided.
